🛡️ TELEHEALTH TERMS OF AGREEMENT AND INFORMED CONSENT

1. IMPORTANT NOTICE – READ CAREFULLY BEFORE PROCEEDING

By clicking "I Agree," scheduling an appointment, or accessing telehealth services through YourMD Online, you (the "User" or "Patient") acknowledge and agree to be bound by this Telehealth Terms of Agreement and Informed Consent. If you do not agree, do not proceed.

2. ROLE OF YOURMD ONLINE LLC

YourMD Online LLC is a technology services provider only.

It does not employ physicians, does not provide medical care, and is not a medical group. All clinical services accessed via this platform are provided exclusively by independent licensed providers affiliated with United Medical Group, a licensed medical organization.

YourMD Online LLC disclaims all liability for the delivery of healthcare services and is not responsible for provider conduct, decision-making, or medical outcomes.

3. NATURE AND LIMITATIONS OF TELEHEALTH

You acknowledge and agree that:

• Telehealth involves the delivery of health services using electronic communications (audio, video, text, data).
• Limitations include the inability to perform physical examinations and potential risks such as misdiagnosis, technical failure, or data breach.
• Telehealth is not suitable for medical emergencies. If you are experiencing a life-threatening emergency, call 911 or go to the nearest emergency room.
• Providers may determine that a telehealth session is not appropriate for your condition and may refer you to in-person care.

4. PATIENT RESPONSIBILITIES

You agree to:

• Provide accurate, complete, and honest health information.
• Be located within a state in which the provider is licensed to practice.
• Accept that any prescriptions, diagnoses, or follow-up are at the sole discretion of the provider.

5. LIMITATION OF LIABILITY

You agree to the following:

• All medical care is provided by licensed providers of United Medical Group. YourMD Online LLC bears no responsibility for the content or quality of the care delivered.
• United Medical Group and its providers are solely liable for medical treatment decisions, recordkeeping, and follow-up.
• You release YourMD Online LLC and its affiliates, officers, employees, contractors, and agents from any liability related to:
  • Medical malpractice or negligence
  • Adverse outcomes from medical treatment
  • Technical or system failures during a telehealth session
• To the maximum extent permitted by law, YourMD Online LLC's liability is limited to the amount paid for your session.

6. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless YourMD Online LLC, its officers, directors, agents, partners, and employees from any and all claims, damages, losses, costs, or liabilities (including legal fees) arising from:

• Your use or misuse of the platform
• Any misrepresentation of your personal health data
• Any claim arising from or relating to the medical treatment you received via the platform
• Any violation of these terms

7. NO WARRANTY

• The platform is provided "as-is" without warranties of any kind, either express or implied.
• We do not warrant that the platform will be available without interruption, secure, or error-free.

8. PRIVACY POLICY

Your use of the platform is also governed by our Privacy Policy, which complies with HIPAA and outlines how your personal health information is collected, stored, and used.

9. GOVERNING LAW & DISPUTE RESOLUTION

• This agreement is governed by the laws of the State of Nevada.
• Any dispute arising from this agreement or services rendered will be resolved through binding arbitration, individually (no class actions), under the American Arbitration Association (AAA) rules.
• The venue for arbitration will be Las Vegas, Nevada.

10. FEES & PAYMENT

Consultation fees are listed prior to booking. You agree to pay applicable charges and understand that refunds are not guaranteed after the appointment has been completed.

11. SEVERABILITY

If any provision of this agreement is found to be unenforceable, it shall be severed, and the remainder shall remain in full force and effect.

12. CONSENT TO TELEHEALTH SERVICES

By accepting this agreement, you:

• Give your informed consent to receive healthcare services via telehealth
• Acknowledge understanding of the risks and limitations
• Agree to hold the platform and technology provider (YourMD Online LLC) harmless
• Accept that the care relationship is solely with the provider or United Medical Group
