IMPORTANT — READ CAREFULLY BEFORE USING THIS PLATFORM.
By clicking "I Agree," creating an account, purchasing any consultation or
subscription, or otherwise using this platform, you ("User," "Patient," "you")
acknowledge that you have read, understood, and agree to be legally bound by
these Terms of Service, the Privacy Policy, the HIPAA Notice of Privacy
Practices, and all other policies referenced herein (collectively, the
"Agreement"). If you do not agree, you must not use the platform or purchase
any service.
1. Role of YourMD Online, LLC
YourMD Online, LLC is a technology services company, not a medical
practice. YourMD does not employ physicians or other clinicians, does not
itself provide medical advice, diagnosis, or treatment, and does not dispense
medication. All clinical services accessed through this platform are delivered
exclusively by independent licensed healthcare providers practicing through
United Medical Group and its affiliated physicians ("Providers").
To the maximum extent permitted by law, YourMD Online, LLC disclaims all
liability for any medical decision, diagnosis, treatment, prescription,
dispensing, clinical outcome, or provider conduct occurring in connection with
the platform.
2. Nature and Limitations of Telehealth
You acknowledge and agree that:
- Telehealth involves the delivery of healthcare using electronic
communications (video, audio, chat, email, asynchronous messaging, and
uploaded data).
- Telehealth cannot fully replicate an in-person encounter. Providers
cannot perform a physical examination, may not have access to complete
records, and are dependent on the accuracy and completeness of the
information you supply.
- Potential limitations include, without limitation: inability to detect
findings that would normally be identified on physical exam, delayed
diagnosis, misdiagnosis, technology or transmission failure, and unauthorized
interception of data despite commercially reasonable safeguards.
- Telehealth is not appropriate for medical emergencies.
If you believe you are experiencing a medical emergency (including but not
limited to chest pain, difficulty breathing, stroke symptoms, suicidal
ideation, severe bleeding, or loss of consciousness), you must call 911 or
go to the nearest emergency department.
- A Provider may determine, in their sole clinical judgment, that
telehealth is not appropriate for your condition and may refer you to
in-person care, decline to prescribe, or discontinue treatment at any time.
- Services are only available in states where the treating Provider is
actively licensed. You must be physically located in a licensed state at
the time of any encounter.
2A. State-Specific Telehealth Rules
YourMD Providers are licensed in Nevada, Washington, and Oregon.
You must be physically present in one of these states at the time of each
encounter. Additional state-specific rules apply:
- Nevada (NRS 629.515; NAC 630): Telehealth establishes
a valid provider-patient relationship without a prior in-person visit,
provided the Provider performs an appropriate evaluation meeting the
standard of care. Controlled substances are not prescribed through
telehealth on this platform. Patients have the right to refuse telehealth
and request in-person care where available.
- Washington (RCW 18.134; WAC 246-919): The Provider
must be licensed in Washington at the time of service, must meet the
Washington standard of care, and must use technology that meets HIPAA
security requirements. Patients are informed of the Provider's name,
license number, and credentials prior to the encounter. Telemedicine
services comply with the Washington Telemedicine Act.
- Oregon (ORS 677.493; OAR 847-025): Oregon
Medical Board rules require an established provider-patient relationship
based on a medically appropriate evaluation. Patients must be informed of
the limitations of telemedicine, provided a method for emergency contact,
and given instructions for follow-up care.
- All states: You must provide a current physical
address and confirm your location at the start of each encounter. If
you travel to a state where your Provider is not licensed, new
consultations, dose adjustments, and new prescriptions require you to
be physically located in a licensed state (NV, WA, OR) at the time of
the encounter. Active medication subscriptions will continue to ship
to your address on file regardless of your temporary travel location.
If you relocate permanently to a non-licensed state, your subscription
will be discontinued at the end of the current billing cycle and you
will be responsible for transitioning care to a provider licensed in
your new state. You are solely responsible for accurately reporting
your location; misrepresentation may result in termination of service
and is a material breach of this Agreement.
Laws and regulations change. To the extent any state-specific rule
conflicts with this Agreement, the state rule controls for encounters
occurring in that state, but only as to that conflict.
3. No Controlled Substances — No Opioids
YourMD Providers do not prescribe controlled substances of
any kind through this platform, including but not limited to opioids,
benzodiazepines, stimulants, hypnotics, testosterone (outside approved vitality
protocols), or any Schedule I-V controlled substance as defined by the federal
Controlled Substances Act. Requests for such medications will be declined and
may be logged for safety and compliance review.
4. Direct-to-Consumer (DTC) Subscription Program
The platform offers optional DTC subscription programs for non-controlled,
commonly-prescribed medications in the following categories
("Subscription Services"):
- Weight Management: Compounded semaglutide and compounded
tirzepatide (GLP-1 / dual GIP-GLP-1 receptor agonists).
- Sexual Wellness (Erectile Dysfunction): Sildenafil,
tadalafil, and physician-selected combinations (PDE5 inhibitors).
- Hair Restoration: Finasteride (oral), topical
minoxidil, and combination protocols.
- Dermatology: Tretinoin and compounded topical
formulations.
- Vitality & Energy: Vitamin D3, methylcobalamin
(B12) injections, NAD+ injections, and related supplements.
- Peptide Therapy: BPC-157, sermorelin, PT-141
(bremelanotide), and other physician-supervised compounded peptide
protocols. See Section 4.1 for peptide-specific risk disclosures.
Subscription Services require a telehealth consultation and clinical
evaluation before any medication is prescribed. Purchase of a subscription
does not guarantee that a Provider will prescribe the
requested medication. A Provider may decline to prescribe based on medical
history, contraindications, or clinical judgment, with no further obligation.
4.1 Medication Risks and Informed Consent
All prescription medications carry risk. Before purchasing or accepting any
Subscription Service, you acknowledge and accept the following category-level
risks, which are not exhaustive and do not substitute for the medication guide
or the Provider's individualized counseling:
- GLP-1 / GIP-GLP-1 agonists (semaglutide, tirzepatide):
nausea, vomiting, diarrhea, constipation, abdominal pain, injection-site
reactions, fatigue, pancreatitis, gallbladder disease, acute kidney injury
from dehydration, hypoglycemia (especially when combined with insulin or
sulfonylureas), boxed warning for thyroid C-cell tumors including
medullary thyroid carcinoma (MTC) — contraindicated in patients with
a personal or family history of MTC or Multiple Endocrine Neoplasia
syndrome type 2 (MEN2), and possible fetal harm. Compounded versions
are not FDA-approved finished drug products and may carry additional risks
related to compounding, sterility, potency, and impurities.
- PDE5 inhibitors (sildenafil, tadalafil): headache,
flushing, dyspepsia, nasal congestion, back pain, visual disturbance,
priapism (prolonged erection > 4 hours — a medical emergency),
sudden hearing loss, non-arteritic anterior ischemic optic neuropathy
(NAION), and life-threatening hypotension when combined with nitrates
or guanylate cyclase stimulators — use is absolutely contraindicated
with nitrates in any form. Not recommended within 6 months of MI,
stroke, or life-threatening arrhythmia.
- 5-alpha reductase inhibitors (finasteride): decreased
libido, erectile dysfunction, ejaculatory disorder, gynecomastia, depression
and suicidal ideation (rare), persistent sexual side effects
("post-finasteride syndrome") in some patients even after discontinuation,
~50% reduction in measured PSA that must be accounted for in prostate
cancer screening, and teratogenicity — pregnant women must not
handle crushed or broken tablets.
- Topical minoxidil: scalp irritation, pruritus,
contact dermatitis, unwanted facial hair growth, initial shedding phase,
reversal of benefit after discontinuation, and rare systemic effects
including tachycardia and hypotension.
- Topical tretinoin: skin dryness, peeling, erythema,
photosensitivity, initial acne "purge," and potential fetal harm (pregnancy
should be avoided during use).
- Vitamin D3 (high-dose), B12, NAD+: rare hypercalcemia
with prolonged high-dose vitamin D, injection-site reactions, and
hypersensitivity reactions.
- Peptide therapy (BPC-157, sermorelin, PT-141 /
bremelanotide, and other investigational or compounded peptides):
These products are NOT FDA-approved for the indications
for which they may be prescribed through this platform. BPC-157 has
been classified by the FDA as a "new drug" without approval, and its
availability may be limited or discontinued based on regulatory
action. Sermorelin stimulates growth hormone release and may cause
injection-site reactions, headache, flushing, dizziness, and, rarely,
hyperglycemia; it is contraindicated in patients with active
malignancy. PT-141 (bremelanotide) may cause nausea (reported in up
to 40% of patients), flushing, headache, transient blood pressure
elevation, and skin hyperpigmentation; it is contraindicated in
patients with uncontrolled hypertension. All peptide therapies carry
risks inherent to injectable compounded medications, including
sterility concerns, potency variability, and unknown long-term safety
profiles. Human clinical data for some peptides is limited or
nonexistent. You accept these risks when electing peptide therapy.
You acknowledge that you have disclosed to your Provider every relevant
medical history item, current medication, supplement, allergy, and pregnancy
status, and that any omission or misrepresentation may result in serious
harm for which YourMD and the Provider disclaim all liability.
4.2 Compounded Medication Disclosure
Certain Subscription Services (including compounded semaglutide and
tirzepatide) are dispensed by state-licensed compounding pharmacy partners as
compounded preparations. Compounded drugs are not FDA-approved
and do not undergo the same premarket review as manufactured products. The
FDA does not verify the safety, effectiveness, or quality of compounded drugs.
You agree to accept these risks when electing a compounded product, and you
understand that the branded or generic FDA-approved alternative may be
available through other channels at different cost.
4.3 Subscription Billing, Cancellation, and No-Refund Policy
By purchasing a Subscription Service, you authorize YourMD and its payment
processor to charge your payment method on a recurring basis at the stated
interval (monthly, quarterly, or otherwise) until you cancel.
How to cancel. You may cancel your subscription at any
time through any of the following methods: (a) through the "Manage
Subscription" section of your patient dashboard at
telehealth.yourmd.online,
(b) by emailing
admin@theunitedmedicalgroup.com
with the subject line "Cancel Subscription," or (c) by calling
(914) 996-8763 during business hours. Cancellation is effective at the end
of the current billing cycle. No additional charges will be made after
cancellation is processed. Cancellation does not entitle you to a refund
of the current billing cycle's fees.
NO-REFUND POLICY.
Except where required by law,
all sales of consultations,
subscription fees, and dispensed medications are final and
non-refundable. Once a Provider has reviewed your intake and
rendered a clinical decision (whether to prescribe or decline), or once a
medication has been prepared or shipped by the partner pharmacy, no refund
will be issued. This includes, without limitation:
- Consultation fees once the Provider has reviewed your chart,
regardless of whether medication is prescribed.
- Subscription fees for the current billing cycle once payment has
been processed.
- Medication costs once a product has been compounded, packaged,
shipped, or received, even if unused, including returned or refused
shipments.
- Services declined by the Provider after clinical review.
If you believe a charge was made in error, you must notify us in writing
within thirty (30) days. Initiating a chargeback or payment dispute without
first contacting us is a material breach of this Agreement and may result
in suspension of your account.
Dispute resolution before chargeback. If you believe a
charge is incorrect, please contact

or call (914) 996-8763 within 30 days. We will investigate and respond
within 10 business days. We are committed to resolving billing disputes
promptly and fairly. Initiating a chargeback or payment dispute with your
bank or credit card company without first contacting us is considered a
material breach of this Agreement.
4.4 Program Limitations
- Subscription Services are not a substitute for
comprehensive primary care, specialist care, emergency care, or in-person
follow-up.
- Subscription Services do not include diagnostic imaging, in-person
procedures, vaccinations, or laboratory draws (orders may be placed but
collection occurs at external facilities you select).
- Shipping of medication is performed by third-party pharmacies. YourMD
does not warrant shipping times, carrier performance, or product condition
after leaving the pharmacy.
- Pharmacy selection. YourMD reserves the right to
select and change compounding pharmacy partners at any time without
prior notice. Prescriptions may be routed to any pharmacy in our
licensed partner network based on availability, geographic coverage,
formulation requirements, and operational considerations. You may
request a specific pharmacy, but fulfillment through that pharmacy is
not guaranteed. If a pharmacy change affects your medication
formulation or pricing, we will notify you before your next billing
cycle.
- Insurance, HSA, and FSA. Insurance is not accepted
for Subscription Services. Subscription fees are cash-pay.
Consultation fees and prescription medications may be eligible for
reimbursement from Health Savings Accounts (HSA) or Flexible Spending
Accounts (FSA) depending on your plan's eligible expense categories.
YourMD does not guarantee HSA/FSA eligibility and recommends verifying
with your plan administrator before purchase. YourMD can provide
itemized receipts upon request to support reimbursement claims.
- YourMD reserves the right to discontinue, modify, or restrict any
Subscription Service at any time, including for clinical, regulatory, or
supply reasons, without further obligation.
4.5 Provider Referral Program
If you access the platform through a referral link or code from a
healthcare provider, pharmacy, or other referral source, you acknowledge
that: (a) the referring party does not receive financial
compensation from YourMD for the referral; (b) your clinical care
is provided independently by YourMD Providers without influence from the
referring party; (c) any promotional discount applied to your account
through a referral code is a patient benefit and is not contingent upon
any payment to the referring party; and (d) we may track the referral
source for internal analytics. Your relationship with the referring
provider is separate from your relationship with YourMD. See the

4.6 No Sale of Health Data
YourMD does not sell, rent, lease, or trade your
personal health information or protected health information to any third
party for advertising, marketing, or any commercial purpose. We do not
permit third-party advertising trackers to access patient health data on
our platform.
5. Eligibility
To use the platform, you must:
- Be at least 18 years of age (or the age of majority in your state) or
be a minor represented by a legally authorized parent or guardian who
consents on the minor's behalf.
- Be physically present in a state where the Provider is licensed at
the time of each encounter.
- Have legal capacity to enter into this Agreement.
- Provide accurate identification and pass identity verification
requirements where applicable (IAL2 document review).
6. Patient Responsibilities
You agree to:
- Provide complete, accurate, and current medical history, medications,
allergies, and contact information.
- Promptly update records when information changes.
- Follow the Provider's instructions and follow-up recommendations.
- Report any adverse reaction, worsening symptom, or red-flag event
immediately.
- Safeguard your login credentials and maintain the confidentiality of
your account.
- Not share medication with any other person and not use medication
outside the prescribed indication.
- Obtain laboratory tests and follow-up as directed by the Provider.
7. Fees, Pricing, and Payment
Consultation fees are currently priced at $50 (video), $40 (audio), or
$20 (chat) per session, subject to change. Subscription pricing is published
on the treatments and pricing pages and may be updated from time to time.
You authorize YourMD and its payment processors (including Stripe and PayPal)
to charge your designated payment method for all fees, applicable taxes, and
shipping where relevant. Failed payments may result in suspension of services.
8. Intellectual Property
All content on the platform, including software, text, graphics, logos,
and compiled clinical protocols, is owned by or licensed to YourMD Online, LLC
and is protected by copyright, trademark, and other intellectual property
laws. You are granted a limited, non-exclusive, non-transferable license to
use the platform solely for receiving healthcare services. Any other use,
including scraping, reverse-engineering, or redistribution, is prohibited.
9. Acceptable Use
You agree not to:
- Impersonate another person or misrepresent your identity.
- Upload malicious code, attempt to probe, scan, or test the
vulnerability of the platform, or bypass security controls.
- Use the platform for any unlawful purpose or in violation of any
federal, state, or local law.
- Harass, threaten, or abuse Providers, staff, or other users.
- Resell, redistribute, or transfer any medication obtained through
the platform.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The platform is provided "AS IS" and "AS AVAILABLE"
without warranties of any kind, whether express, implied, or statutory,
including but not limited to warranties of merchantability, fitness
for a particular purpose, non-infringement, or availability.
- YourMD Online, LLC is not liable for any medical
decision, diagnosis, misdiagnosis, prescription, adverse drug event,
allergic reaction, treatment outcome, provider conduct, or clinical
harm arising from or related to care delivered through the platform.
- YourMD Online, LLC is not liable for any
indirect, incidental, special, consequential, exemplary, or punitive
damages, including lost profits, lost data, lost wages, pain and
suffering, or emotional distress, even if advised of the possibility
of such damages.
- The aggregate liability of YourMD Online, LLC for any and all
claims arising out of or related to this Agreement or your use of the
platform shall not exceed the total amount you paid to YourMD in the
three (3) months immediately preceding the event giving rise to the
claim.
- Some jurisdictions do not allow the exclusion or limitation of
certain warranties or damages, so some of the above may not apply to
you.
11. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and
hold harmless YourMD Online, LLC, United Medical Group, their respective
parent, subsidiary, and affiliated companies, their licensed Providers,
compounding-pharmacy and fulfillment partners, payment processors, and each
of their officers, directors, employees, agents, contractors, successors, and
assigns (collectively, "Indemnified Parties") from and against any and all
claims, demands, suits, proceedings, liabilities, judgments, damages, losses,
settlements, fines, penalties, costs, and expenses, including reasonable
attorneys' fees and expert witness fees and court costs, arising out of or
related to:
- Your access to, use of, or inability to use the platform or any
Subscription Service;
- Any misrepresentation, omission, or inaccuracy in the health
information, identity information, location information, or payment
information you supplied;
- Your failure to disclose a contraindication, allergy, concurrent
medication, pregnancy, or other material fact to your Provider;
- Any clinical outcome, adverse reaction, injury, or harm arising from
medication you obtained through the platform, including harm caused by
off-label use, sharing medication with third parties, or failure to
follow Provider instructions;
- Any third-party claim brought by a member of your household or any
other person alleging injury from medication, supplies, or devices
received through your account;
- Your violation of this Agreement, the Privacy Policy, the HIPAA
Notice, or any applicable federal, state, or local law or regulation;
- Your violation of any right of a third party, including intellectual
property, privacy, and publicity rights;
- Any chargeback, fraudulent payment dispute, or reversal initiated by
you without first seeking resolution through customer service.
YourMD reserves the right, at your expense, to assume the exclusive
defense and control of any matter for which you are required to indemnify us,
and you agree to cooperate fully in asserting any available defenses. This
indemnification obligation shall survive termination of this Agreement and
your use of the platform.
11A. AI Products and Clinical Decision-Support Tools
Certain AI-powered tools (including AskUnitedMedicalAI, the diagnostic
companion, drug interaction checker, lab interpreter, medical dictation,
and other clinical assistants) are offered by YourMD's affiliated AI-native
platform at www.yourmd.online and are
subject to the separate AI Terms of Service posted at that site. You
acknowledge and agree that:
- AI tools are clinical decision-support only. They do
not establish a provider-patient relationship, do not render a diagnosis,
and do not replace the judgment of a licensed clinician.
- AI output may be incomplete, outdated, or incorrect. Providers
independently verify AI-generated content before relying on it in a
clinical encounter. Patients must not rely on AI tool output for
self-diagnosis or self-treatment.
- Use of AI tools may involve transmission of data to the AI-native
platform subject to its privacy and security controls. PHI-bearing
interactions within the telehealth platform are logged in the HIPAA
audit trail.
- YourMD and its affiliates disclaim all warranties and liability for
AI tool accuracy, completeness, fitness for purpose, or clinical outcomes
to the maximum extent permitted by law.
12. Governing Law, Arbitration & Class-Action Waiver
This Agreement is governed by the laws of the State of Nevada, without
regard to conflict-of-law principles. Any dispute, claim, or
controversy arising out of or relating to this Agreement or the platform
shall be resolved exclusively by final and binding individual arbitration
administered by the American Arbitration Association (AAA) under its
Consumer Arbitration Rules, with the seat of arbitration in Clark County,
Nevada. You and YourMD agree that each party may bring claims against
the other only in an individual capacity and not as a plaintiff or class member
in any purported class or representative proceeding.
YOU WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS
ACTION. Nothing in this section prevents either party from seeking
injunctive relief in a court of competent jurisdiction for intellectual
property infringement.
13. Termination
YourMD may suspend or terminate your access to the platform at any time,
with or without cause, with or without notice. Upon termination, all rights
granted to you under this Agreement will cease immediately. Sections that by
their nature should survive termination (including Sections 1, 4.3, 8, 10,
11, 12, and 14) shall survive.
14. Changes to This Agreement
We may amend this Agreement at any time by posting the revised version at
this URL. The effective date will be updated accordingly. Continued use of the
platform after changes are posted constitutes acceptance of the revised terms.
For material changes, we will use reasonable efforts to notify you via email
or in-app notice.
15. Severability and Entire Agreement
If any provision of this Agreement is found unenforceable, that provision
shall be severed and the remaining provisions shall remain in full force and
effect. This Agreement, together with the Privacy Policy, HIPAA Notice, and
any applicable product-specific consents, constitutes the entire agreement
between you and YourMD with respect to the subject matter herein.
16. Consent to Electronic Communications
You consent to receive communications from YourMD and your Providers
electronically, including via email, SMS, and in-platform messaging. You
agree that electronic signatures, consents, and records satisfy any legal
requirement that such communications be in writing.
17. Contact
BY CLICKING "I AGREE" OR USING THE PLATFORM, YOU CONFIRM THAT:
- You are at least 18 years of age or legally authorized to consent to
treatment on behalf of a minor.
- You have read, understood, and agree to this Agreement in full,
including the limitation of liability, no-refund policy, arbitration
clause, and class-action waiver.
- You consent to receive healthcare services via telehealth and to
the associated risks and limitations.
- You understand that YourMD Online, LLC is a technology provider,
not a medical practice, and that the care relationship is exclusively
with your licensed Provider through United Medical Group.
